나라뱅콥 토마스 정 前 이사장과의 인터뷰
사태 조기수습 위해 이사 사임한 것
“벤자민 홍 씨가 시세 조정위해 주식매도 했다고는 생각 않는다”
기자 : 이번 ‘나라은행 회계오류 발견’과 관련, 책임을 지고 물러나셨는데 심경을 말해달라.
토마스 정 前 이사장 : 이번 사태가 내가 물러나는 선에서 해결되어지길 솔직히 바랬다. 하지만 결국 이번 사태로 SEC 청문회까지 가게 된 점에 대해 유감으로 생각한다.
기자 : 벤자민 홍 前 행장의 사임을 알리는 8-K 보고서가 재제출 되어졌다. 그 서한에는 김용환, 존 박 이사의 실명이 거론되는 등 그간 ‘이사진들과의 불화’가 있었음을 시사하는 내용이 담겨 있다. 보았는가.
토마스 정 前 이사장 : 나도 그것을 보았다. 벤자민 홍 前 행장이 ‘사임’을 알리면서 괜한 일을 한 것 같다는 것이 내 생각이다. 괜히 ‘이사진들과의 갈등양상’을 언론 등에 노출하는 결과를 초래했다.
기자 : 이번 회계오류 수정작업으로 인해 ‘나라은행’ 주식(심볼 : NARA)이 ‘NARAE’로 거래되는 등 ‘퇴출될 지도 모른다’는 위기감을 조성시켜, 투자자들이 매물을 쏟아내 ‘대폭락세’를 연출했다. 한인들 중 나라은행 주식을 가장 많이 소유한 대주주로서 어떻게 생각하는가.
토마스 정 前 이사장 : 솔직히 이번 사태가 이렇게 크게 번질 이유가 있었나라는 생각도 들었다. 빠른 수습을 위해 내가 모든 책임을 지고 물러난 것 아니냐. 일이 너무 커져 버린 감이 있다. 그리고 벤자민 홍 前 행장과의 ‘계약서’ 문제는 은행 이사회에서 분명히 두 세 번인가 거론되었던 이야기고, 우리 둘 간의 맺은 ‘비밀계약서’가 아니란 걸 필히 말하고 싶다. 또한 벤자민 홍 씨로서는 ‘60만 달러’라는 돈이 그리 작은 돈도 아니고 은퇴를 하는 과정에서 신임 행장에게 이를 보장해달라고 제시했던 것으로 보여지는데 그 속내용은 길다. 이유야 어쨌든 간에 청문회가 열리게 되었으니 다 밝혀지지 않겠는가.
기자 : 끝으로 청문회 결과는 어떻게 될 것으로 보는가. 항간에는 ‘벤자민 홍 前 행장’의 경우 주가조작 등 ‘시세조종’ 행위가 인정되면 형사처벌이 될 가능성도 높은 것으로 들었다.
토마스 정 前 이사장 : 나는 벤자민 홍 씨가 절대로 시세조종 등의 행위를 했다고 생각하지 않는다. 이미 선데이저널의 기사로 잘 알려진 바지만, 벤자민 홍 씨가 오비이락(烏飛梨落) 격으로 주식을 애매한 시점에 매도한 것으로 생각한다. 내가 알기로는 사적인 문제로 돈이 필요했던 것으로 알고 있다. 그 정도까지만 밝히겠다. |
그렇다면 나라은행 측이 지난달 16일 증권거래위원회(SEC)에 ‘2003-2004년 연간 회계보고와 관련 15일 연기신청’을 하는 과정에서 그 사유로 “지난 2002-2003년도 회계보고서에 지난 2002년 당시 벤자민 홍 前 행장의 이익배당금이 회계보고서에 누락되어 있다”는 내용의 자료를 첨부한 뒤 책임소재를 물었고, 이에 대한 ‘수습책’을 마련했던 것으로 보여지는 대목이다.
따라서 이 과정에서 나라뱅콥 토마스 정 前 이사장은 ‘책임’을 지고 사임을 했고, 한국 출장 길에 올랐던 벤자민 홍 前 행장은 ‘사직권고를 받은 뒤 뒤늦게 서한을 통해 사임을 했다. 그러나 벤자민 홍 前 행장은 ‘모종의 미묘한 서한’을 통해 여지를 남겨 논 셈이 되어 버렸고, 이를 놓고 청문회에서 은행 측과 벤자민 홍 前 행장의 한판대결이 예상되어지고 있는 것이다.
한편 ‘연간회계보고서 15일 연기 신청’에 이어 지난달 30일 최악의 시나리오라 할 수 있는 “연간회계보고서 미제출’ 카드를 빼어듦으로써 ‘청문회’ 行이 불가피해진 나라은행(심볼 : NARA). 나라은행 號의 운명이 빠르면 이번 달 혹은 다음 달로 예정된 ‘SEC 청문회’에서 판가름 날 전망이다.
[문제가 되고 있는 서한 원본 내용]
Dear Board members of Nara Bancorp: I would like to provide you with my thoughts and evaluation of the bancorp’s announcement on March 20, 2005. I regret that I am writing this letter after your announcement was made, because I have not had the benefit of knowing the outcome of the investigation of the outside counsel, nor have I had a chance to defend my position regarding the allegation related to Thomas Chung’s letter dated October 10, 2002.
First, I believe the restatement of the year 2002 annual financial results is not warranted, nor justified. You are aware of the fact that neither the $600,000, nor any portion of that amount has ever been paid to me. It is almost certain now that the bank will not pay any portion of it in the future. Why is the restatement necessary at this time?
Second, Thomas Chung’s letter specified that the payment of any portion of the $600,000 would be for the reimbursement of my future business expenses up to $60,000 per year for my anticipated services as a board member in M&A and investor related activities. These anticipated activities would benefit the bank’s future performances and would be justifiable business expenses to be paid out of the bank’s future earnings. All the bank’s board members approved this idea, before Thomas Chung signed the letter.
Third, John Park and Yonghwan Kim served as members of the special audit committee on this case. They approved Thomas Chung’s letter in 2002. I believe they both have a conflict of interest here and should have resigned from the committee as Thomas Chung did.
Fourth, Thomas Chung’s letter was never intended to be confidential nor was it kept as a secret from the Board members. Since the nature of the letter was that of a mutual understanding between the board members and myself, I asked Tim Chang, CFO and Ho Yang, my successor, at the time of my retirement, to discuss the letter with the board members and inform me what would be a reasonable and acceptable arrangement for the bank. If I knew then what I know now, I would have been willing to release the bank from its obligations to me. The board has not given me any chance to do so.
I believe the actions that the board members have taken so far lacks business judgment and has created much confusion among shareholders. In my opinion, this is not the way to serve for the best interest of shareholders.
